Commercial Litigation

We have experience handling a wide range of commercial litigation, including disputes relating to breaches of contract, tortious interference with contract, partnership and LLC member liability, misrepresentation, violations of fiduciary duties and others. Some of the recent commercial litigation matters we have handled include:

  • Obtained $1.2 million judgment in favor of hedge fund manager against co-manager of a fund in the same fund family for co-manager’s failure to pay out share of “carve-out” profits derived by co-manager’s fund.
  • Representation of minority member of investment banking firm limited liability company in derivative action against company’s board of managers for their breach of fiduciary duty to company, which included their failure to issue stock warrants, their transfer of company’s wholly-owned broker/dealer to shell company, and their acquisition of controlling number of shares of publicly traded company with company assets.
  • Representation of financial services company against claims of violation of exclusive temporary employee provision agreement by provider of temporary technical services personnel.
  • Representation of equities trading software developer against claims by party to software development agreement alleging that software developer unlawfully transferred completed trading program to investment company broker/dealer in violation of development agreement and developer's fiduciary duty.
  • Representation of software company in International Commerce Commission arbitration against claim of unlawful termination of software distribution agreement.
  • Defended a vendor's breach of contract claim against the North American subsidiary of a German equipment manufacturer.

  • Successful defense of former corporate officer against claim for his alleged breach of non-recruitment clause in an employment separation agreement.
